1.0 ACKNOWLEDGMENT AND ACCEPTANCE OF SERVICE AGREEMENT

1.1 The OnlineProfs.com Website (“Online Professionals”, “We” or the “Website”) is provided to you (“You” or “The Site”) under the terms and conditions of this service agreement (the “Agreement”).

1.2 BY COMPLETING THE WEBSITE SUBMISSION FORM AND CLICKING THE “SUBMIT” BUTTONS (FREE OR EXPRESS), YOU AGREE TO PROVIDE TRUE AND ACCURATE INFORMATION AS PROMPTED BY THE SUBMISSION FORM, AND THAT YOU AGREE TO BE BOUND BY THIS AGREEMENT.

1.3 Online Professionals reserves the right, in its sole discretion, to change, modify, add or remove all or part of the Agreement at any time with or without notice. Please refer back to this Agreement often.

2.0 DESCRIPTION OF THE SERVICE

2.1 The website is a human edited database of online professionals/websites. You may choose to submit your site for admission in the database however inclusion in the database is not guaranteed. It is up to Onlineprofs.com team to decide if your site is in compliance with the website’s guidelines and rules. THE GUIDELINES AND RULES ARE MINIMUM REQUIREMENTS ONLY, AND ONLINE PROFESSIONALS, IN ITS SOLE DISCRETION, MAY CONSIDER OTHER CRITERIA BEFORE ACCEPTING, REJECTING OR REMOVING A SITE.

2.2 You represent and warrant that the site submitted for consideration comply with all applicable laws and regulations.

2.3 Free Submissions. THERE ARE ABSOLUTELY NO WARRANTIES FOR FREE SUBMISSIONS.

2.4 Express Submissions. The current fee for Express Submission is a one time, NON-REFUNDABLE fee of US $24.99. You acknowledge that the payment of this fee is for consideration of your site AND DOES NOT IN ANY WAY GUARANTEE THAT YOUR SITE WILL BE INCLUDED IN THE DATABASE. Your payment only guarantees that we will consider and respond to your submission within five business days, by either accepting or not accepting your site. The additional benefits of Express Submissions are in effect for 12 months after the submission date. It is up to OnlineProfs.com to decide if, after this period of time, your site will continue to receive these benefits.

2.5 NOTHING IN THIS AGREEMENT OBLIGATES ONLINEPROFS.COM TO LIST, LINK TO OR ACCEPT YOUR SITE. IN ADDITION, IF YOUR SITE IS ACCEPTED, NOTHING IN THIS AGREEMENT OBLIGATES ONLINEPROFS.COM TO PLACE YOUR SITE WITHIN A SPECIFIC CATEGORY OR SUBCATEGORY OF THE DATABASE.

3.0 TERMINATION OF THE SERVICE

3.1 If you wish to terminate participation in the website’s database, you must send a notice to Online Professionals using the Contact form from the website. Please select the “Remove from Database” option and provide the email address that was used to register the site in the first place. We will do our best to remove your site from OnlineProfes.com as fast as possible but there is NO TIME GUARANTEE on when this will happen.

4.0 DISCLAIMER OF WARRANTIES AND LIABILITIES

4.1 THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. NEITHER THIS AGREEMENT NOR ANY DOCUMENTATION FURNISHED UNDER IT IS INTENDED TO EXPRESS OR IMPLY ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

4.2 ONLINEPROFS.COM, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES OR LEGAL OR EQUITABLE THEORIES WHATSOEVER, FOR ANY LOSS OF BUSINESS, PROFITS OR GOOD WILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER, EVEN IF ONLINEPROFS.COM IS AWARE OF THE RISK OF SUCH DAMAGES, THAT RESULT IN ANY WAY FROM YOUR USE OF OR INABILITY TO USE THIS SERVICE, ONLINEPROFS.COM’S ACCEPTANCE OR REJECTION OF A SUGGESTED SITE, ONLINEPROFS.COM’S CONTINUED LISTING OF A SITE IN THE DIRECTORY.

4.3 ONLINEPROFS.COM LIABILITY TO APPLICANT SHALL NOT, FOR ANY REASON, EXCEED THE AMOUNT ACTUALLY PAID BY APPLICANT TO ONLINEPROFS.COM UNDER THIS AGREEMENT.
